You will have to write an ethics report as part of the requirements for this class. The Case Report is an individual assignment on the HBR case, “Governance Failure at Satyam.” Each student will need to purchase and download their own individual copy of the case directly from the Harvard Business School (HBS) case library. You will need to answer three questions related to this case listed on page 19 of this syllabus. The purpose of the case report is to assess your ability to apply strategic and ethical principles to specific situations. The report should summarize your analyses and recommendations in no more than three (3) double-spaced pages, 12 points Times Roman font, and all round 1-inch margins. This is a strict page limit and formatting requirement and must be adhered to by all students. This written assignment will be judged according to standards of effective business communication. It should be clear and cogent. Papers will be evaluated based on organization, mechanics, impact, and style. The document “Governance Failure at Satyam: Case Directions” which can be found in Appendix A contains detailed instructions on how to prepare your case report.

APPENDIX A – Governance Failure at Satyam: Case Directions You will be responsible for one written case analysis during the course (worth 8% of your final grade). Case analysis is an important way for you to practice your critical thinking skills and sharpen your ability to concisely present your arguments in a well-developed written format. Strategic analyses are realistic and typical tasks for strategic managers. The analyses give you an opportunity to demonstrate: (1) your ability to apply concepts from class and the text to a specific situation, (2) your analytical skills, (3) your ability to draw substantive conclusions from your analyses, and (4) your ability to recommend strong, specific, actions for the managers in the case. Specifically, the case assigned for this course will enable you to: (1) define and analyze strategic, contextual and ethical challenges, (2) understand and analyze fundamental challenges of global coordination and control, and (3) critically evaluate emerging market risks and strategic decision-making biases. It is important to emphasize again that all case assignments are individual, independent assignments. Evidence of collaboration, plagiarism, or suspicion that you have not presented independent work will be grounds for immediate review for dishonorable or unethical conduct, as detailed in the university Policy on Academic Honesty in the Undergraduate Catalog of Georgia State University and on the GSU and RCB websites, and may result in an immediate “F”. The written assignment should be no more than three (3) pages, double-spaced. Exhibits, diagrams, pictures, or graphs pertinent to the case do not count toward the page allocation. Late submissions will have 5 points deducted per day. Late deductions begin when class ends. The professor reserves the right to reduce grades on “unprofessional” deliverables. Format (specific requirements for written case analysis): 1. Title page: Case name, your name, the name of the course and section number, the date. 2. Text: Three (3) double-spaced pages of analysis. 3. Exhibits: Up to two (2) pages of exhibits. Do make a strong effort to say what you need to say in the allocated 3 pages; exhibits should only serve as supporting materials. You MUST refer to each exhibit you include in the body of your analysis (e.g., Model 1; Figure 1, Table 1, etc). Exhibits may include financial reports and any strategic management tools which will help you frame your analysis. These are NOT exhibits from the case, but the ones you will develop on your own that will help you analyze the case. 4. Due: Beginning of class on November 6. 5. Spacing: Double-spaced. 6. Font: 12 pt., Times New Roman. 7. Margins: 1″ margins on all sides. 8. Spelling: Spelling and grammar errors are costly. 9. Staple: Please staple all pages of your report. Please – no three ring binders. My Expectations: 1. I expect your case analysis to be a sales pitch for your ideas. Most executives will not read 20 page proposals. They prefer the bottom-line analysis of key strategic issues; hence, the page limit requirement. Course Syllabus BUSA 4980 Strategic Management Page 19 2. You will be graded on the thoroughness of your analysis, application of strategic tools and techniques you have learned in class, and clarity, conciseness, and persuasiveness of your arguments and recommendations. 3. DO NOT simply restate information from the case. This is not an essay; this is a specific analysis document. Suggested Process for Analyzing and Writing Up a Case Analysis: 1. Read the case for information only. Look at the Exhibits. 2. Read again, taking notes, especially in the context of the questions (below) assigned to this case and the strategic literature as a whole that we have studied during the semester. 3. Do some simple strategic analyses based on the information given in the case and based on the strategic analytical tools we have studied in class. 4. List all issues, concerns, areas for improvement, or contradictions that you noted. 5. Develop any Exhibits you may need to help you support your arguments. 6. Answer the assigned questions. After you have analyzed the case based on steps 1 through 6 above, you can now start writing. First: Write up a rough draft of your ideas and develop exhibits. Second: Then, edit your ideas, and pay attention to the following: long sentences with too many adjectives; restatements of the case; multiple sentences that say the same thing; are all exhibits you developed clearly referred to in the text (e.g., Model 1. illustrates the critical issues…., or Figure 2. points to key areas of concern…, etc.); too much introduction. Third: Do a quick check: your analysis should clearly present your view of the strategic issues at hand and your exhibits should support your ideas stated in the written section of your document. Grading of the Case Report: Below are some basic guidelines I will use to evaluate your case analysis (total =100 points): I. Summary of Critical Issues (i.e., information from the case is not simply repeated; identification of key issues) – 25 points II. Strategic Analysis (i.e., appropriate use of strategic management concepts & analysis frameworks) – 25 points III. Arguments and Recommendations (i.e., quality and support of the arguments presented) – 25 points IV. Writing (clarity of ideas; use of exhibits; clarity of writing; formal writing style as well as grammar, spelling, punctuation) – 25 points ***SPECIFIC QUESTIONS YOU MUST ADDRESS IN YOUR CASE ANALYSIS*** 1. Discuss the circumstances under which Satyam’s fraud was exposed. What do you think were the reasons for the fraud? Could this fraud have been prevented? (HINT: the failure of the Maytas deal started to unravel the fraud) 2. Critically evaluate the corporate governance mechanisms of Satyam. (HINT: consider ownership structure, board composition, board committees, disclosures and transparency) 3. Do you think that making industry regulatory changes would help in preventing such fraud? (HINT: Take a position and provide supporting evidence for your answer.)
